Terms of Service

Rights & Ownership

All deliverables (the product or service provided by typeface) shall be for the exclusive use of the client, other than for the designer's promotional use. If the deliverable is of a confidential or restricted nature, the client must provide written notification in advance.

The client will be entitled to full ownership of all aspects of the deliverable upon full payment of the agreed upon fee.

Payment Schedule

The client will remit a 50% non-refundable down payment prior to work commencing. Once the down payment is made, typeface will provide an estimated timeline for project completion. The remaining balance will be billed to the client upon project completion, and before final deliverables are submitted to the client. Once full payment is received, all deliverables will the provided to client, and all permissions and ownership will be transferred to client.

Delayed Payment

If the final invoice is unpaid within 30 days, a 10% late fee will be applied to the invoice. For every 7 days thereafter, a 10% fee will be added. If an invoice reaches 90 days without payment, the project will be cancelled and typeface will retain ownership of all deliverables, artwork, and/or project components.

Cancellation

If a project is cancelled before the final deliverable is submitted to client, the client will be billed for 25% of the total project cost. Typeface will retain full ownership of any work created. The 50% deposit is non-refundable. Clients will be given a 30 day grace period after cancellation, during which the project may be revived. If the project is revived within this timeframe, client will be permitted to utilize the initial 50% down payment submitted, and will only be billed for the remaining 50% of the project.

Subcontractors

I reserve the right to retain a third party to complete a portion of your project when a particular specialty is required. (For example, if a portion of your project requires a video, I may hire a third party to shoot and edit footage.) Any costs of a subcontractor will be solely the responsibility of typeface communications. If a third party is required and costs will be prohibitive, Katie and typeface communications will notify the client before proceeding. Clients will never be subject to surprise charges associated with a third party contractor.

Indemnity

The client agrees to indemnify and hold harmless typeface communications and Katie Patterson from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, attorney's fees, or legal costs.
